Terms of Service
Welcome to Tell Them Later. These Terms of Service ("Terms") govern your access to and use of the Tell Them Later website, applications, and services (collectively, the "Service"). By creating an account, purchasing credits, or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Service Description
Tell Them Later is a digital legacy platform that allows you ("Creator") to record personalized video messages and written letters for designated recipients ("Recipients"). These messages are securely stored and delivered to Recipients only after your passing has been verified through our death verification process. The Service also allows you to designate executors ("Executors") who are responsible for initiating the death verification process.
2. Eligibility
You must be at least 18 years of age to create an account or use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
3. Account Registration
To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized use of your account.
4. Free Trial
Tell Them Later offers a 7-day free trial for new users. When you start a free trial, you will be asked to provide a valid payment method. You will not be charged during the 7-day trial period. On day 8, your payment method will automatically be charged for the subscription plan you selected at the time of sign-up. You may cancel at any time during the 7-day trial period and will not be charged. By starting a free trial, you expressly authorize us to charge your payment method at the end of the trial period unless you cancel before the trial expires.
IMPORTANT: Your payment method will be charged automatically when your free trial ends unless you cancel before that date. You can cancel at any time from your account settings.
5. Subscription Plans and Billing
The Service is offered through monthly subscription plans. Current plans include:
- Starter: $9.99 per month, includes 15 credits per month.
- Premium: $24.99 per month, includes 40 credits per month.
Subscriptions are billed monthly on the anniversary of your initial subscription date. Subscription fees are non-refundable. We reserve the right to change subscription pricing with 30 days' advance notice. Your continued use of the Service after a price change constitutes acceptance of the new pricing.
6. Credits
Credits are the unit of value used within the Service for premium features such as physical delivery.
Credits have no cash value. Credits cannot be redeemed for cash, transferred to another user, or applied outside the Service.
All credit purchases are final and non-refundable. By purchasing credits, you acknowledge and agree that you are purchasing a digital good for immediate use and you expressly waive any right of withdrawal or cooling-off period to the extent permitted by applicable law.
Credits do not expire. Both subscription credits and purchased credits remain in your account indefinitely, subject to the cancellation provisions below.
Subscription credits are included in your monthly subscription. If your subscription is cancelled or lapses, unused subscription credits remain available during the 30-day grace period described in Section 7.
Purchased credits are credits you buy separately from your subscription. Purchased credits are never forfeited due to subscription cancellation. If your subscription is cancelled, your purchased credits remain in your account and protect your content from deletion (see Section 7).
7. Cancellation and Content Retention
You may cancel your subscription at any time from your account settings. Upon cancellation:
30-Day Grace Period: Your content remains fully accessible for 30 days after cancellation. During this period, you may resubscribe to retain all content, or purchase credits to protect specific messages.
Content Deletion After Grace Period: After the 30-day grace period, if you have not resubscribed or purchased sufficient credits, your content will be progressively deleted starting with the newest messages first (last in, first out). Each message requires credits to retain. Messages covered by purchased credits will not be deleted.
Permanent Deletion: Content that is soft-deleted during this process will be permanently and irreversibly deleted 30 days after soft deletion. Once permanently deleted, content cannot be recovered.
IMPORTANT: If you cancel your subscription without sufficient purchased credits to cover your stored messages, your messages will be permanently deleted. This process is irreversible. Please ensure you have purchased enough credits or downloaded your content before cancelling.
8. Content and Intellectual Property
You retain ownership of all content you create and upload to the Service, including video messages, written letters, and other materials ("Your Content"). By using the Service, you grant Tell Them Later a limited, non-exclusive license to store, process, and deliver Your Content solely for the purpose of providing the Service.
You may not use the Service to store or transmit content that is unlawful, threatening, abusive, defamatory, obscene, or that infringes on the intellectual property rights of any third party.
9. Death Verification
Messages are released to Recipients only after the Creator's death has been verified through our verification process. In Version 1 of the Service, death verification is conducted through manual review of submitted death certificates. An Executor designated by you will submit a death certificate, which our team reviews against available public records. We make commercially reasonable efforts to verify the authenticity of submitted death certificates, but we do not guarantee the accuracy of the verification process and are not liable for delays or errors in verification.
You are responsible for providing accurate identity verification information (legal name, date of birth, place of birth) in your profile to facilitate the death verification process. Inaccurate or incomplete information may delay or prevent verification.
10. Recipients and Access Codes
When you designate a Recipient, the Service generates a unique access code for that Recipient. You are responsible for ensuring that access codes are provided to the intended Recipients and kept secure. Tell Them Later is not responsible for unauthorized access resulting from compromised, shared, or improperly stored access codes.
Access codes are designed to remain valid for a minimum of 15 years from the date of creation, subject to the continued operation of the Service.
11. Physical Delivery
The Service offers optional physical delivery of messages via USB mail. Physical delivery is a premium feature that requires credits. Once a physical delivery request enters the preparation stage, the credits used for that delivery are non-refundable, as the Service has begun fulfilling the order.
Physical delivery pricing: 50 credits for the first USB delivery, 30 credits for each additional delivery within the same release.
12. Data Storage and Retention
Tell Them Later commits to storing paid content for a minimum of 15 years from the date of creation, subject to your account remaining in good standing (active subscription or sufficient purchased credits). This commitment survives individual transactions — we will not delete content you have paid to store within this retention period.
Transaction history and audit logs are retained indefinitely for legal and compliance purposes, even after account deletion.
13. Account Deletion
You may request deletion of your account at any time. Upon account deletion:
- Your personal information will be scrubbed from our systems (soft-delete with data removal), except as required by law or as described in these Terms.
- Any remaining credits (both subscription and purchased) are forfeited and cannot be recovered.
- Transaction history is retained for legal and financial compliance purposes.
- All stored messages will be permanently deleted unless they have already been released to Recipients.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TELL THEM LATER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN; (C) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (D) DELAYS OR ERRORS IN THE DEATH VERIFICATION PROCESS; (E) FAILURE OF PHYSICAL DELIVERY; OR (F) ANY OTHER MATTER RELATING TO THE SERVICE.
Our total aggregate liability to you for all claims arising from or related to the Service shall not exceed the total amount you have paid to Tell Them Later in the twelve (12) months preceding the event giving rise to the claim.
15. Dispute Resolution
Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation by contacting us at legal@tellthemlater.com. If informal resolution is not reached within 30 days, either party may pursue binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in the State of Delaware. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.
Notwithstanding the above, either party may bring a claim in small claims court if the claim qualifies.
16. User Responsibilities
By using the Service, you agree to:
- Provide accurate and truthful information during registration and in your profile, including identity verification information.
- Keep your account credentials and access codes confidential and secure.
- Designate Executors who are trustworthy and capable of fulfilling their responsibilities.
- Ensure that designated Recipients are real individuals who can reasonably be expected to receive your messages.
- Not use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Not attempt to circumvent, disable, or interfere with the security features of the Service.
17. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email and update the version number and effective date at the top of this page. Your continued use of the Service after receiving notice of changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and cancel your account.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
19. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
